ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE OUR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

Termination

Termination by You

Termination by Us

Effect of Termination

Upon termination:

We may delete your account and User Content
You remain liable for all fees incurred prior to termination
Provisions that by their nature should survive termination will continue to apply

Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Thailand, without regard to its conflict of law provisions.

Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of our Services shall be settled by binding arbitration in accordance with Thailand law, except that:

You may assert claims in small claims court if they qualify
Either party may seek injunctive relief in court for intellectual property infringement

The arbitration will be conducted in Thailand, and judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive your right to participate in class actions, class arbitrations, or representative proceedings.

Exceptions

Notwithstanding the above, either party may bring a claim in court for injunctive relief or to protect intellectual property rights.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and The Circle Technology regarding your use of our Services.

Amendments

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last Updated” date. Your continued use of our Services after such changes constitutes acceptance of the modified Terms.

Severability
